CTM365 provides 24/7 remote, real-time thermal monitoring of critical electrical infrastructure. Our services include continuous data collection, analysis, and reporting to help identify developing electrical issues before they cause failures.

All services are subject to a separate Service Agreement signed by both parties. These website Terms & Conditions apply to general website use and do not override specific terms in your Service Agreement.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services or submit inquiries. By using our website, you represent that you meet these requirements.

4. User Conduct

You agree not to:

  • Use our website for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or data
  • Interfere with or disrupt the integrity or performance of our website
  • Submit false, misleading, or fraudulent information

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CTM365 AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

  • Your use or inability to use our website or services
  • Any conduct or content of any third party on our website

  • Electrical failures, equipment damage, downtime, or safety incidents

IN ANY CASE, CTM365’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you.

You agree to indemnify, defend, and hold harmless CTM365 and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • Your violation of any applicable laws or third-party rights
  • Any content or information you submit through our website

11. Service Agreements

CTM365’s continuous thermal monitoring services are governed by a separate Service Agreement executed between CTM365 and the customer. In the event of any conflict between these website Terms & Conditions and a signed Service Agreement, the Service Agreement shall control.

Key terms of our Service Agreements typically include: scope of monitoring, installation requirements, data ownership, fees and payment terms, termination conditions, equipment responsibility, and liability limitations specific to electrical monitoring.

12. Termination

We may terminate or suspend your access to our website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms & Conditions. Upon termination, your right to use the website will cease immediately.

13. Governing Law

These Terms & Conditions shall be governed and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action arising from these terms shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of such courts.

14. Dispute Resolution

Before filing a claim against CTM365, you agree to first contact us and attempt to resolve the dispute informally. If the dispute cannot be resolved within 60 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction.

15. Severability

If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms & Conditions, together with our Privacy Policy and any signed Service Agreement, constitute the entire agreement between you and CTM365 regarding your use of our website and services, superseding any prior agreements or understandings.
